Service Agreement
A general template for the terms that would govern a security engagement between Perimeter and a client.
1. Parties
This Service Agreement (“Agreement”) is entered into between Perimeter Security Consulting (“Perimeter”) and the client identified on the signed proposal or statement of work (“Client”).
2. Scope of services
Perimeter will provide the security services described in the accompanying statement of work, which may include vulnerability assessment, PCI DSS compliance support, fraud defense, managed monitoring, incident response, or staff training. Any work outside that scope requires a written change order signed by both parties.
3. Term
This Agreement begins on the effective date stated in the statement of work and continues until the scoped services are complete, or, for ongoing services, until terminated as described in Section 7.
4. Fees and payment
Client agrees to pay the fees set out in the statement of work. Unless otherwise agreed in writing, invoices are due within 14 days of receipt. Late payments may pause active work until the account is current.
5. Client responsibilities
Client will provide timely access to the systems, accounts, and personnel Perimeter reasonably needs to perform the services, and will confirm in writing that Perimeter is authorized to test or access those systems.
6. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement, including vulnerability findings, and to use it only for the purposes of this Agreement.
7. Term and termination
Either party may terminate an ongoing engagement with 30 days’ written notice. Client remains responsible for fees owed for work already performed up to the termination date.
8. Limitation of liability
Perimeter will perform services with reasonable skill and care, but no security engagement can guarantee that a breach will never occur. Perimeter’s total liability under this Agreement is limited to the fees paid by Client for the specific service giving rise to the claim.
9. Governing law
This Agreement is governed by the laws of the jurisdiction stated in the signed statement of work.
10. Entire agreement
This Agreement, together with any signed statement of work, is the entire agreement between the parties and supersedes any prior discussions regarding the same engagement.
